This Asset Custody & Management Agreement (“Custody Agreement”) is entered into between Ready Cards Inc. (“Ready.cards,” “we,” “us,” or “our”) and the user (“User,” “you,” or “your”) and governs the custody, storage, handling, and management of physical collectible assets submitted to or associated with the Ready.cards platform.
This Custody Agreement is incorporated into and forms part of the Ready.cards Terms of Service. In the event of a conflict, the Terms of Service control.
1. Nature of Relationship (Bailment Only)
The relationship created by this Custody Agreement is strictly a bailment for safekeeping.
Legal title to all assets remains with the User at all times
Ready.cards does not acquire ownership, beneficial interest, or equity in any asset
No trust, fiduciary, escrow, or agency relationship is created
Ready.cards’ obligations are limited solely to reasonable care consistent with industry standards.
2. Appointment of Custodian
You appoint Ready.cards, and its designated third-party custody providers, as custodians solely for the purpose of physical possession and safekeeping of accepted assets.
Ready.cards may delegate custody, storage, logistics, and related services to third-party providers without notice or consent.
3. Asset Acceptance & Rejection
Ready.cards reserves the absolute right to:
Accept or reject any asset submission
Impose eligibility, grading, or condition requirements
Remove assets from custody where required by law, regulation, or risk policy
Acceptance does not constitute a warranty of authenticity, condition, or value.
4. No Valuation or Market Representation
Ready.cards:
Does not appraise or value assets
Does not guarantee market value
Does not guarantee liquidity, saleability, or demand
Any valuation references are for internal, insurance, or administrative purposes only and do not represent realizable value.
5. Storage & Handling
Assets are stored in third-party facilities using commercially reasonable care.
Ready.cards does not guarantee:
Climate conditions
Facility location
Storage duration
Specific security measures
Operational details may change at any time.
6. Insurance (Limited & Conditional)
Assets may be covered under insurance policies maintained by Ready.cards or its custody partners, subject to:
Policy terms
Coverage limits
Deductibles
Exclusions
Ready.cards is not an insurer and makes no guarantee of coverage or payout.
7. Loss, Damage & Liability Cap
To the fullest extent permitted by law:
Ready.cards’ total liability for any asset is limited to the lesser of:
The amount actually recovered under applicable insurance, or
The fees paid by the User for custody services related to that asset
Ready.cards shall not be liable for:
Market value fluctuations
Sentimental value
Lost profits or opportunity cost
Consequential or indirect damages
8. Claims Process
Any claim for loss or damage must:
Be submitted in writing within a specified time window
Comply with insurer and custodian requirements
Be subject to investigation and approval
Failure to comply results in waiver of the claim.
9. Force Majeure
Ready.cards is not liable for loss or damage caused by events beyond its reasonable control, including but not limited to:
Natural disasters
War, terrorism, or civil unrest
Government action or seizure
Supply chain failures
Third-party service failures
10. User Representations & Warranties
You represent and warrant that:
You lawfully own the asset
The asset is free of liens or claims
The asset is not stolen or illicit
Submission complies with all laws
Any breach voids all obligations under this agreement.
11. Unclaimed, Abandoned, or Restricted Assets
If an asset becomes unclaimed, restricted, or non-redeemable due to:
User inaction
Legal restrictions
Compliance holds
Ready.cards may:
Continue storage at additional cost
Liquidate the asset to recover fees
Dispose of the asset as permitted by law
Users waive all claims related to such actions.
12. No Fiduciary Duty
Nothing in this agreement creates:
A fiduciary relationship
A duty of loyalty or care beyond bailment
Any obligation to act in the User’s financial interest
13. Termination
This agreement terminates upon:
Redemption or lawful disposition of the asset
Account termination
Legal or regulatory requirement
Key provisions survive termination, including liability limits and waivers.
14. Governing Law & Dispute Resolution
This Custody Agreement is governed by the same law and arbitration provisions set forth in the Terms of Service, which are incorporated by reference.
