These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ready Cards Inc. (“Ready.cards,” “we,” “us,” or “our”), governing your access to and use of the Ready.cards platform, website, applications, and related services (collectively, the “Platform”).

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

1. Acceptance & Scope

These Terms govern all access to and use of the Platform, including but not limited to:

  • Account creation

  • Asset submission and vaulting

  • Digital experiences, packs, and platform mechanics

  • Redemption and shipping

  • Custody-related services

  • Fees and payments

These Terms incorporate by reference all policies, disclosures, and agreements published by Ready.cards, including but not limited to:

  • Privacy Policy

  • Asset Custody & Management Agreement

  • AML & Sanctions Policy

  • Pack & Digital Experience Disclosures

  • Risk Disclosures

2. Eligibility & Legal Capacity

You represent and warrant that:

  • You are at least the age of majority in your jurisdiction

  • You have full legal capacity to enter into this agreement

  • You are not prohibited from using the Platform under any applicable law

  • You are not located in, resident in, or acting on behalf of a restricted jurisdiction

Ready.cards may deny access for any reason or no reason, at its sole discretion.

3. Jurisdictional & Regulatory Compliance

You are solely responsible for ensuring that your use of the Platform complies with all laws applicable to you, including but not limited to:

  • Securities laws

  • Gambling and gaming laws

  • Tax laws

  • Anti-money laundering and sanctions laws

Ready.cards does not represent that the Platform is lawful or appropriate in any jurisdiction.

4. Platform Discretion & No Obligation to Serve

Ready.cards reserves absolute discretion to:

  • Accept or reject any user or asset

  • Modify, suspend, or terminate any feature

  • Freeze, restrict, or close accounts

  • Delay, block, or reverse transactions

Ready.cards has no obligation to provide continued access or services to any user.

5. No Investment, No Financial Product

The Platform does not offer:

  • Investments

  • Securities

  • Derivatives

  • Gambling or wagering services

  • Financial advice

You acknowledge that:

  • Collectibles are inherently risky

  • There is no expectation of profit

  • Any fees paid are for services only

6. User Representations & Warranties

You represent and warrant that:

  • You lawfully own any asset you submit

  • Assets are not stolen, encumbered, or subject to claims

  • Funds used are derived from lawful sources

  • You are not attempting to evade laws, sanctions, or controls

Any breach is grounds for immediate termination.

7. Fees & Payments

All fees:

  • Are non-refundable unless required by law

  • May change at any time

  • Are due regardless of outcome

Ready.cards may suspend services for non-payment.

8. Suspension, Termination & Enforcement

Ready.cards may suspend or terminate your account immediately and without notice if it determines, in its sole judgment, that:

  • You violated these Terms

  • Your activity presents legal, regulatory, or reputational risk

  • Continued access is inadvisable

You waive any claim for damages arising from enforcement actions taken in good faith.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

READY.CARDS SHALL NOT BE LIABLE FOR:

  • LOST PROFITS

  • LOST VALUE

  • LOSS OF DATA

  • MARKET FLUCTUATIONS

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO READY.CARDS IN THE PRIOR TWELVE (12) MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ready.cards from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Platform

  • Your breach of these Terms

  • Your violation of law

  • Any asset you submit

11. Arbitration & Class Action Waiver

ALL DISPUTES SHALL BE RESOLVED BY BINDING ARBITRATION.

You waive:

  • The right to a jury trial

  • The right to participate in a class action

Arbitration shall be conducted on an individual basis only.

12. Governing Law & Venue

These Terms shall be governed by the laws of Panama, without regard to conflict-of-law principles.

Venue for arbitration shall be Panama.

13. Changes to Terms

Ready.cards may modify these Terms at any time. Continued use constitutes acceptance.

14. Severability & Survival

If any provision is held unenforceable, the remainder shall remain in full force.

Key provisions survive termination, including:

  • Limitation of liability

  • Arbitration

  • Indemnification

  • Compliance obligations
